Introduction

Welcome to Unrugable Chaos! These Terms and Conditions ("Terms") govern your use of our website, applications, and services, including but not limited to Chaos token trading, backing mechanism mechanics, and refund mechanisms (collectively, "Services"). By accessing or using the Services, you agree to comply with these Terms. If you do not agree, please discontinue your use of the Services immediately.

IMPORTANT NOTICE: PLATFORM VS. TOKEN DISTINCTION

The Unrugable Chaos platform provides smart contract deployment infrastructure for creating tokens. The platform code is licensed under Business Source License 1.1 (BUSL-1.1) and is the intellectual property of Unrugable.com.

Tokens created using the platform are INDEPENDENT WORKS created by their respective token creators. Token creators retain full ownership and rights to their tokens. Unrugable Chaos claims NO ownership over user-created tokens and is NOT responsible for token creator conduct, token performance, or legal compliance of individual tokens.

By using this platform, you acknowledge this distinction and accept that:

  • Platform operators are not responsible for user-created tokens
  • Token creators are solely responsible for their tokens
  • Platform code may not be copied or used without proper licensing

1. Definitions

1.1 "Unrugable Chaos" refers to the decentralized platform, including its smart contracts, tools, and applications, operated on the Base blockchain.

1.2 "User" refers to any individual or entity accessing or using the Services.

1.3 "Chaos Tokens" refers to the ERC-20 tokens issued and managed within the Unrugable Chaos ecosystem, each backed by USDC through a backing ratio mechanism.

1.4 "USDC Backing" refers to the USD Coin (USDC) that backs the value of Chaos tokens through a backing ratio mechanism. Each token is backed by USDC at a ratio determined by the backing formula.

1.5 "Backing Mechanism" refers to the reserve-backed pricing where token price is calculated as total USDC backing divided by circulating supply, ensuring permanent USDC backing for all tokens.

1.6 "Services" include but are not limited to Chaos token creation, trading, refund mechanisms, and related features.

1.7 "Token Creators" refers to users who deploy new Chaos tokens using the Unrugable Chaos platform. Token creators retain full ownership and rights to their tokens, including names, symbols, and branding.

1.8 "Platform Code" refers to the Unrugable Chaos smart contract infrastructure, which is licensed under the Business Source License 1.1 (BUSL-1.1) and is the intellectual property of Unrugable.com.

2. Acceptance of Terms

By using the Services, you confirm that you:

  • Are at least 18 years old or the legal age of majority in your jurisdiction.
  • Have the authority to enter into these Terms.
  • Understand that all blockchain transactions are irreversible and acknowledge the risks associated with decentralized finance (DeFi).
  • Understand that Chaos tokens are backed by USDC through a backing ratio mechanism, and the backing ratio changes as tokens are bought and sold.

3. Non-Custodial and Decentralized Nature

3.1 Unrugable Chaos operates on a non-custodial basis. Users retain full control of their private keys and assets.

3.2 The platform does not store or manage private keys, funds, or personal data, except as specified in the Unrugable Chaos Privacy Policy.

3.3 All transactions occur on the Base blockchain, and users are solely responsible for ensuring the security of their accounts.

4. Disclaimer of Financial Advice

4.1 Unrugable Chaos is a technology platform. It does not provide financial, investment, or legal advice.

4.2 Users are responsible for conducting their own due diligence and assuming the risks associated with cryptocurrency transactions.

4.3 Unrugable Chaos makes no guarantees regarding token value, price appreciation, or the outcomes of transactions.

4.4 While Chaos tokens are backed by USDC, the value of USDC can fluctuate, and token prices are determined by the backing ratio mechanism and market dynamics.

5. Token Usage and Transactions

5.1 Chaos Token Utility and Creation: Chaos tokens are utility tokens created by independent token creators using the Unrugable Chaos platform. These tokens:

  • Are not securities, investments, or legal tender
  • Are backed by USDC through a backing ratio mechanism
  • Are owned and managed by their respective token creators
  • Are independent works with no affiliation to Unrugable Chaos
  • Are the sole responsibility of their token creators

Token creators are responsible for:

  • Compliance with applicable laws and regulations
  • Token marketing and promotion
  • Any claims, disputes, or legal issues related to their tokens
  • Ensuring their token use does not infringe on third-party rights

5.2 USDC Backing: Chaos tokens are backed by USDC stored in the smart contract. The backing ratio is determined by the backing mechanism: price = totalUSDCBacking / circulatingSupply. As more tokens are purchased, the price increases, and as tokens are refunded, the price decreases.

5.3 Refund Mechanism: Users may refund Chaos tokens for USDC by transferring tokens to the contract address. Refunds are calculated at the current backing price minus protocol fees (1% total: 0.3% creator fee, 0.2% dev fee, 0.5% backing boost). The USDC is then transferred directly to your wallet.

5.4 Backing Mechanism Pricing: Token prices are determined by the reserve-backed mechanism. The initial bootstrap price is 1 USDC = 1 token. After bootstrap, price = totalUSDCBacking / circulatingSupply. This ensures permanent USDC backing for all tokens.

5.5 Transaction Finality: All blockchain transactions are irreversible. Users are responsible for verifying the accuracy of transaction details before execution.

5.6 Fees: Unrugable Chaos imposes transaction fees for Services: Buy and refund transactions: 1% total fee (0.3% creator fee, 0.2% dev fee, 0.5% backing boost). The 0.5% backing boost remains in the contract, increasing the backing ratio for all holders. These fees are transparently displayed and non-refundable.

5.7 Minimum Purchase Amounts: Minimum purchase amount is 0.001 USDC.

6. Prohibited Activities

Users agree not to:

  • Engage in fraudulent, illegal, or unethical activities.
  • Exploit vulnerabilities, including but not limited to security flaws, bugs, or loopholes, in the ecosystem.
  • Use automated tools (e.g., bots) to manipulate Services or engage in excessive transactions that may disrupt the platform.
  • Impersonate another user or entity.
  • Use the Services in any way that violates applicable laws or regulations.

7. Intellectual Property

7.1 Platform Intellectual Property
All content, branding, smart contract code, and materials related to the Unrugable Chaos platform are protected under applicable intellectual property laws and are licensed under the Business Source License 1.1 (BUSL-1.1).

7.2 Platform Code Restrictions
The Unrugable Chaos smart contract code is proprietary. Users may not:

  • Copy, modify, or deploy the platform code without proper licensing
  • Create competing platforms or services using the platform code
  • Reverse engineer or extract the platform code for commercial purposes
  • Use the platform code for production purposes outside of Unrugable Chaos

7.3 Token Creator Rights
Tokens deployed via Unrugable Chaos are independent works created by their respective token creators. Token creators retain:

  • Full ownership of their token names, symbols, and branding
  • All intellectual property rights to their tokens
  • Sole responsibility for their tokens and any claims related to them
  • The right to market, promote, and manage their tokens independently

7.4 Platform Non-Ownership of User Tokens
Unrugable Chaos makes no claim of ownership over user-created tokens. The platform provides deployment infrastructure only. Each token is an independent work with no affiliation to Unrugable Chaos beyond the use of deployment services.

7.5 User-Generated Content
Users may not reproduce, distribute, or create derivative works from Unrugable Chaos platform materials without explicit written consent. Unrugable Chaos reserves the right to use user-generated promotional content (screenshots, testimonials, etc.) for platform marketing purposes, but does not claim ownership of user tokens or token-specific branding.

7.6 License Violations
Unauthorized use of the Unrugable Chaos platform code may result in:

  • Immediate termination of Services access
  • Legal action to protect intellectual property rights
  • Claims for damages arising from license violations

The platform code transitions to Apache License, Version 2.0 on December 30, 2030.

8. Limitation of Liability

8.1 Unrugable Chaos provides Services "as is" and "as available" without warranties of any kind, either express or implied.

8.2 Unrugable Chaos is not liable for:

  • Losses resulting from blockchain delays, network congestion, or system outages.
  • Loss of private keys, funds, or unauthorized account access.
  • Any indirect, incidental, or consequential damages arising from the use of Services.
  • USDC price volatility or market conditions affecting token values.
  • Regulatory changes affecting cryptocurrency in general.
  • Any claims arising from user-created tokens or token creator conduct.
  • Intellectual property disputes related to user token names, symbols, or branding.
  • Securities law violations by token creators.
  • Misuse or unauthorized copying of the platform code.

8.3 Users agree to indemnify and hold harmless Unrugable Chaos from any claims, losses, or damages arising from their use of the platform.

9. Modifications to Services

Unrugable Chaos reserves the right to:

  • Modify, suspend, or discontinue any part of the Services without prior notice.
  • Update these Terms at any time. Users will be notified of significant changes via the Unrugable Chaos website or official channels. Continued use of the Services constitutes acceptance of updated Terms.

10. Third-Party Services

10.1 Unrugable Chaos may integrate third-party services, including wallets and decentralized exchanges.

10.2 Users acknowledge that third-party platforms are governed by their own terms and policies, and Unrugable Chaos is not responsible for third-party actions or omissions.

11. Governing Law and Dispute Resolution

11.1 These Terms are governed by the laws of the jurisdiction in which the user resides or accesses Unrugable Chaos, provided that these laws do not conflict with the overarching principles of decentralized blockchain technology.

11.2 Any disputes arising from these Terms shall be resolved through arbitration in accordance with the rules applicable in the user's jurisdiction. If the user resides in a country that does not support arbitration for such agreements, disputes may be resolved in a competent local court.

11.3 Users waive the right to participate in class-action lawsuits or claims, except where such waivers are prohibited under the laws of their jurisdiction.

12. Termination

12.1 Unrugable Chaos reserves the right to terminate access to the Services for violations of these Terms or applicable laws.

12.2 Users may discontinue their use of the Services at any time but remain bound by these Terms for prior actions.

13. Miscellaneous

13.1 Severability: If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall remain in effect.

13.2 Force Majeure: Unrugable Chaos is not responsible for delays or failures caused by events beyond its control, including but not limited to natural disasters, war, regulatory actions, or network failures.

13.3 Entire Agreement: These Terms constitute the entire agreement between users and Unrugable Chaos, superseding any prior agreements.

14. Token Creator Responsibilities

14.1 Independent Creation
Token creators acknowledge that tokens deployed via Unrugable Chaos are their independent works. Unrugable Chaos provides deployment infrastructure only and claims no ownership over user-created tokens.

14.2 Token Creator Obligations
Token creators are solely responsible for:

  • Ensuring token names, symbols, and branding do not infringe on third-party intellectual property rights
  • Compliance with all applicable securities, financial, and cryptocurrency laws
  • Any representations, warranties, or claims made about their tokens
  • Token liquidity, marketing, and community management
  • Resolving disputes related to their tokens

14.3 Indemnification
Token creators agree to indemnify and hold harmless Unrugable Chaos from any claims, losses, damages, or legal actions arising from their tokens, including but not limited to:

  • Intellectual property infringement claims
  • Securities law violations
  • Consumer protection claims
  • Misrepresentation or fraud claims

14.4 Platform Non-Liability for User Tokens
Unrugable Chaos is not responsible for and makes no warranties regarding:

  • Token value, performance, or market success
  • Token creator conduct or representations
  • Legal compliance of user-created tokens
  • Disputes between token creators and token holders
